2025 Brings New Commercial Tenant Protections for Small Businesses and Nonprofits in California

December 4, 2024
David Robinson

California's new commercial tenant protection laws, effective January 1, 2025, provide significant safeguards for small businesses and nonprofit organizations facing lease disputes and potential evictions.

Who Is Protected

The new protections apply to:

  • Small businesses with fewer than 50 employees
  • Nonprofit organizations with annual revenues under $5 million
  • Restaurants and retail establishments under 5,000 square feet
  • Professional service providers in spaces under 2,500 square feet

Key Protections

Extended Notice Requirements

Landlords must now provide 90-day notice for lease terminations (increased from 30 days) and 60-day notice for rent increases exceeding 10%.

Right to Cure

Tenants have expanded rights to cure lease violations, with minimum 30-day cure periods for most non-payment defaults and 60 days for other material breaches.

Relocation Assistance

For no-fault evictions, landlords must provide relocation assistance equal to three months' rent for qualifying tenants who have occupied the premises for more than two years.

Impact on Landlords

Commercial landlords must update their lease agreements and procedures to comply with:

  • New notice requirements and timelines
  • Enhanced disclosure obligations
  • Mandatory mediation for certain disputes
  • Relocation assistance calculations and payments

Compliance Recommendations

We recommend that commercial landlords:

  • Review and update all lease templates
  • Implement new notice procedures
  • Train property management staff on new requirements
  • Establish mediation protocols for tenant disputes
  • Budget for potential relocation assistance obligations

Both landlords and tenants should seek legal counsel to understand their rights and obligations under these new protections.
